These Terms and Conditions (“Terms”) govern all services provided by Catalyst Digital (“we”, “us”, “our”) to any client (“you”, “the Client”) who engages us for web design, development, digital marketing, or related services. By engaging our services, instructing us to commence work, or paying a deposit, you agree to be bound by these Terms.
1. Quotations and Scope of Work
1.1 All quotes are prepared based on Catalyst Digital’s professional estimate of the time required to complete the agreed tasks, informed by past experience with similar projects (“Estimated Hours”). The quoted fee reflects these Estimated Hours at our current hourly rate and represents our best estimate of total cost for the project as discussed, not a fixed price unrelated to time spent.
1.2 The quote and Estimated Hours are based solely on the tasks and deliverables specifically discussed and agreed with the Client at the time the quote is issued (the “Agreed Scope”). They do not include any tasks, requests, or deliverables not discussed at that time.
1.3 If the Client requests any task, feature, or deliverable that was not part of the Agreed Scope, time will be taken from the initially quoted amount of hours, and any additional time required to complete the project will be invoiced for on an ad-hoc basis, as per time needed/used to fulfil the request.
1.4 Time spent engaging with the Client beyond what is reasonably required to deliver the Agreed Scope — including excessive meetings, calls, emails, or correspondence — also draws down from the Estimated Hours and may be billed as additional time under this Section, on the same basis as 1.3.
1.5 Should it become apparent at any point that the Estimated Hours, and therefore the total project cost, will not be sufficient to complete the project — whether due to out-of-scope requests under 1.3, time spent under 1.4, or tasks taking longer than anticipated — Catalyst Digital will notify the Client and the parties will work together to reassess the project’s scope, timeline, and cost.
1.6 Time is recorded and billed in increments of thirty (30) minutes. Hourly rates in effect at the time work is performed will apply, and these rates may be updated from time to time; the current rate will always be confirmed to the Client before additional work begins.
2. Deposits and Payment
2.1 A deposit of 50% of the total quoted project fee is required before work commences. The remaining balance is payable as set out in the applicable invoice or payment schedule, typically upon completion or delivery of the project (or at agreed milestones).
2.2 The deposit secures the Client’s place in our project schedule and compensates Catalyst Digital for time and capacity reserved for the project from the point of booking, including time that cannot be reallocated to other clients or projects once reserved.
2.3 If the Client cancels the project after the deposit has been paid, a cancellation fee will apply, calculated based on the time that had been booked and reserved for the Client’s project and which could not be reallocated as a result of the cancellation (the “Cancellation Fee”), billed at our current hourly rate.
2.4 Where a project is cancelled, the amount the Client is entitled to have refunded from the deposit (if any) will be calculated as follows: the deposit paid, less (a) the cost of any time already spent actively working on the project up to the date of cancellation, billed at our current hourly rate, and less (b) the Cancellation Fee described in 2.3. A refund will only be considered, and will only be paid, if this calculation results in a positive amount — that is, if the deposit paid exceeds the combined cost of time already spent and the Cancellation Fee. Where the combined cost of (a) and (b) equals or exceeds the deposit paid, no refund will be due, and the Client shall not be liable for any further payment beyond the deposit already paid in respect of work covered by this calculation.
2.5 Catalyst Digital will, upon request, provide the Client with a breakdown of time spent and the Cancellation Fee applied when calculating any refund under 2.4.
2.6 Invoices are payable within 5 business days of the invoice date unless otherwise agreed in writing. Late payment may result in suspension of work. Where an invoice remains unpaid 30 days after the expiry of this 5-day payment window, interest will accrue on the outstanding amount at a rate of 10.25% per annum, calculated from the date on which that 30-day period elapses until the date of payment in full.
2.7 All fees are quoted in South African Rand (ZAR) and are exclusive of VAT unless stated otherwise. VAT will be added where applicable at the prevailing statutory rate.
3. Hourly Work Generally
3.1 The Client acknowledges that individual tasks within the project may take more or less time than originally estimated, and that Catalyst Digital tracks all time against the total Estimated Hours and total project cost as a whole, rather than against each individual task in isolation. Where total time spent exceeds the Estimated Hours — whether due to out-of-scope requests, excessive Client-side time under Section 1.4, or tasks individually taking longer than expected — this will be addressed under Section 1.5, and the Client agrees that fees are based on time actually spent performing the work, irrespective of:
(a) the source or allocation of the Client’s budget or funding for the project or specific tasks within it;
(b) any internal categorisation by the Client of how costs were expected to be distributed across tasks; or
(c) whether a particular task was anticipated to take more or less time than it ultimately required, provided the total time across the project is accounted for in accordance with this Section and Section 1.
3.2 Catalyst Digital will act in good faith to perform work efficiently and will provide time estimates where requested, but such estimates are not guarantees, and final hourly billing reflects actual time spent, subject to the notification and reassessment process in Section 1.5.
4. Revisions
4.1 The Agreed Scope includes a total of 3 rounds of final revisions on design and/or content deliverables, as specified in the project proposal.
4.2 Revision requests must be consolidated and submitted in writing within 5 days of delivery of the relevant deliverable. Requests submitted after this period, revision rounds beyond the 3 included in the Agreed Scope, or any further changes requested after project completion, will be charged as additional work at our standard hourly rate.
4.3 Revisions involving a substantive change in direction (as opposed to refinement of the agreed concept) may be treated as out-of-scope work and billed accordingly.
5. Intellectual Property and Ownership
5.1 Upon receipt of full and final payment, ownership of the final deliverables created specifically for the Client as part of the Agreed Scope (such as website design files, custom code written for the project, and bespoke copywriting) transfers to the Client, save for any third-party or pre-existing materials described below.
5.2 Catalyst Digital retains ownership of, and the Client receives a non-exclusive licence to use, any pre-existing tools, frameworks, code libraries, templates, processes, or proprietary systems used by Catalyst Digital in delivering the work, where these were not created specifically and exclusively for the Client.
5.3 Third-party assets (such as licensed stock images, fonts, plugins, or themes) remain subject to the licence terms of their respective providers, and it is the Client’s responsibility to maintain any ongoing licences required for continued use after project completion, unless otherwise agreed.
5.4 Until full and final payment has been received, all work product, drafts, and deliverables remain the property of Catalyst Digital, and the Client may not use, publish, or deploy them.
5.5 Catalyst Digital reserves the right to showcase completed work (excluding confidential or proprietary client information) in its portfolio, marketing materials, and case studies, unless the Client requests otherwise in writing.
6. Client Responsibilities
6.1 The Client agrees to provide timely feedback, content, access credentials, and any other materials reasonably required for Catalyst Digital to complete the work. Delays caused by the Client in providing these may extend project timelines and, where they result in additional time being spent (e.g. follow-ups, idle time, schedule rearrangement), may be billed hourly.
6.2 The Client warrants that any content, images, trademarks, or materials supplied to Catalyst Digital for use in the project do not infringe the intellectual property or other rights of any third party, and the Client indemnifies Catalyst Digital against any claims arising from such materials.
7. Limitation of Liability
7.1 Catalyst Digital will perform services with reasonable skill and care. To the extent permitted by law, our total liability to the Client for any claim arising from the services provided shall not exceed the total fees paid by the Client for the relevant project.
7.2 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under South African law, including under the Consumer Protection Act 68 of 2008, where applicable.
8. Termination
8.1 Either party may terminate an engagement on written notice. Upon termination, the Client remains liable for payment of all work completed and time spent up to the date of termination. Where a deposit has been paid, any potential refund will be carefully assessed and considered only after deducting the Cancellation Fee and the cost of time already spent on the project, in accordance with Section 2.
9. Governing Law
9.1 These Terms are governed by the laws of the Republic of South Africa, and any disputes shall be subject to the jurisdiction of the South African courts.
10. Amendments
10.1 Catalyst Digital may update these Terms from time to time. The version in effect at the time a deposit is paid or work commences will apply to that engagement.
